These Terms govern access to getspruce.io, to the app at app.getspruce.io, and the use of the services provided by Spruce.

CLÉMENT AVRIL EI — Spruce (hereinafter "Spruce", "we") — These Terms govern access to and use of Spruce.

2. Presentation of Spruce

Spruce is an AI-powered LinkedIn prospecting SaaS application, designed for professionals who want to structure, qualify, personalize, manage, and track their prospecting more intelligently.

Artificial intelligence is at the core of the Application. It may notably be used to sort leads, scan profiles, assign prospects to personas, provide prospecting advice, score prospects, rank or downgrade prospects, personalize prospecting messages, assist Manual Setting, and, depending on the plan, process certain conversations in AI Setting.

The Application notably allows you to:

  • View a prospecting Dashboard
  • Connect a LinkedIn account
  • Prepare and launch prospecting
  • Import, manage, and qualify leads
  • Use AI Scan to analyze prospects
  • Generate personalized prospecting messages
  • Track replies and centralize conversations
  • Use Manual Setting or AI Setting (depending on plan)
  • Use the Closing module
  • Benefit from support from a Spruce Ally (depending on plan)

3. Definitions

In these Terms:

SpruceThe publisher of the site, the application, and related services.
SiteThe public site accessible at getspruce.io.
ApplicationThe SaaS space accessible at app.getspruce.io.
ClientAny individual or legal entity that creates an account, uses the Application, activates an offer, or subscribes to a plan.
ServicesAll the features, offerings, and tools provided by Spruce.
SubscriptionThe paid offer subscribed to by the Client in order to access the Services.
Spruce AllyA person affiliated with Spruce who may support certain Clients depending on the plan subscribed.
Setting ManuelThe space for manually tracking and handling conversations once a reply is received.
AI SettingThe space for AI-automated tracking and handling of conversations once a reply is received.
ClosingThe space for tracking meetings, sales opportunities, and sales.
AI ScanThe AI-assisted analysis filter used to qualify or disqualify a prospect.

4. Purpose of the Terms

These Terms define the terms of access to the Site and the Application, the conditions for account creation, subscription activation, usage rules, payment, renewal and cancellation, the respective responsibilities, and the rules regarding LinkedIn connection and data processing.

5. Acceptance of the Terms

Acceptance is effective as soon as the Client creates an account, checks the acceptance box, activates a paid offer, starts a trial period, makes a payment, or uses the Services. If the Client does not accept these Terms, they must not create an account, activate an offer, or use the Application.

6. Free account creation and demo account

Creating a Spruce account is free. A demo account is automatically created, allowing you to view the interface with sample data. The demo account does not allow real prospecting to be launched and does not constitute a free trial period.

7. Activating a paid plan

Activation is done from the Application, on the Subscription page. Once payment is confirmed, activation is immediate. Certain features are reserved for specific plans: AI Setting (Professional and Premium plans), Spruce Ally support (Managed and Premium plans).

8. Application modules

Depending on the plan chosen, Spruce gives access to: Dashboard, LinkedIn, Preparation, Lead Import, Lead Management, AI Scan, Prospecting, Replies, Manual Setting, AI Setting (depending on plan), Closing, Subscription. Features may evolve. Spruce reserves the right to improve, modify, or add features.

9. Available offers and plans

Spruce offers self-serve plans and managed plans :

10. No commitment, renewal, and cancellation

All monthly plans are commitment-free. Cancellation takes effect at the end of the current billing period. Annual plans are paid in a single payment for 12 months. Subscriptions renew automatically unless cancelled beforehand.

11. 14-day trial period

Spruce may offer a free trial period of 14 days on the Essential plan. A valid credit card is required. If the Client cancels before the end, no charge will be made. Without cancellation, the paid subscription starts automatically.

12. Payment

Payment is made via Stripe or any other provider used by Spruce. In the event of payment failure, access may be blocked or restricted. Prices are shown in euros. VAT not applicable, Art. 293 B of the French Tax Code.

13. Refunds

Except for legitimate reasons, payments are not refundable. No refund for lack of use, misconfiguration, lack of prospect replies, absence of booked meetings, or voluntary cancellation during a billing period.

14. Use of LinkedIn

Spruce is independent of LinkedIn Corporation and Microsoft Corporation. The Client remains solely responsible for their LinkedIn account, their actions, their messages, and the compliance of their use with LinkedIn's rules.

15. Connecting your LinkedIn account

The Client must connect their LinkedIn account via a secure third-party technical provider. Spruce never stores the LinkedIn login or password. Spruce only receives the information necessary to display and drive prospecting.

16. Prospecting quotas and usage safety

Default indicative quotas:

These quotas are indicative and may not be reached every day. Spruce recommends disconnecting other LinkedIn tools before launching prospecting.

The Client may import their prospects into Spruce. They remain

18. Artificial intelligence

AI is involved at several stages: sorting leads, scanning profiles, scoring, personalized advice, message generation, qualifying replies, and handling conversations (AI Setting). AI-generated content is provided

19. Manual Setting

Manual Setting allows the Client to handle their own conversations once a reply is received: follow-up, qualification, manual replies, AI-suggested replies, follow-ups, and meeting scheduling. The Client remains responsible for their sales availability and conversion rate.

The Closing module allows tracking of meetings, opportunities, signed sales, losses, and revenue. It is a tracking tool that does not guarantee a signed contract or any revenue.

The Spruce Ally can help the Client operate the tool, structure their strategy, import leads, manage actions, and organize video check-in calls (maximum une fois par semaine23. Client obligations

23. Client obligations

The Client agrees to use Spruce fairly, professionally, and in compliance with the law. They agree not to use Spruce for illegal purposes, import unlawful data, send spam, infringe on third-party rights, copy or misappropriate the Application, share their access credentials, or resell a similar service.

24. No guarantee of results

Spruce provides a tool, a method, and support. However, Spruce ne garantit pas a specific number of prospects, a precise reply rate, a number of meetings, revenue, or freedom from LinkedIn restrictions.

Spruce is bound by an obligation of means, not an obligation of results. Results depend on the Client's market, the quality of their offer, their positioning, their targeting, and their sales follow-up.

25. Availability and maintenance

Spruce makes reasonable efforts to ensure the accessibility and proper functioning of the Application. However, Spruce ne garantit pas permanent, uninterrupted, or error-free access. Access may be suspended for maintenance, updates, technical incidents, or force majeure.

26. Personal data and GDPR

When the Client determines the purposes of their prospecting, they act as data controller. When Spruce processes this data on the Client's behalf, Spruce acts as sous-traitant within the meaning of the GDPR. The Client is responsible for the lawfulness of their processing, informing data subjects, and handling objection requests. Detailed terms are set out in the Privacy Policy.

27. Data retention and deletion

After cancellation, the Client retains access to their portal for un mois. Les données sont conservées 30 jours after the end of the subscription. The Client may request an extended backup period billed up to a maximum of 25 € par mois.

28. Confidentiality

Each party agrees to preserve the confidentiality of non-public information: sales data, prospect lists, strategies, access credentials, financial information, and internal content. This obligation remains in effect throughout the relationship and after its termination.

29. Propriété intellectuelle

Spruce remains the holder of all intellectual property rights. Use of the Services grants the Client no ownership right whatsoever. The Client only benefits from a personal, non-exclusive, non-transferable, and temporary right of use.

30. Client references, reviews, and feedback

The Client authorizes Spruce to use their name or testimonial only with their prior consent. Reviews and suggestions submitted may be used to improve the Services without compensation.

31. Responsabilité

Spruce cannot be held liable for indirect damages, loss of business, or loss of revenue. Spruce is not liable for decisions made by the Client, messages sent, LinkedIn's decisions, or the Client's parallel use of other tools.

If Spruce's liability were to be engaged, it would be limited to the amount actually paid by the Client over the three months précédant le fait générateur.

32. Suspension du service

Spruce reserves the right to suspend access in the event of non-payment, suspected fraud, use contrary to the Terms, security risk, request from an authority, or infringement of third-party rights. Suspension does not exempt the Client from paying amounts owed.

33. Changes to the Terms

Spruce reserves the right to modify these Terms at any time. New Terms will be published on the Site or in the Application. Continued use of the Services after publication constitutes acceptance.

34. Preuve

The Client acknowledges that data recorded in Spruce's systems (connection logs, payment history, validations, invoices, and electronic exchanges) may be used as preuve of the operations performed.

35. Support

For any question, the Client may contact Spruce at: contact@getspruce.io. Spruce will make every effort to respond within a reasonable time.

36. Force majeure

Spruce cannot be held liable in the event of force majeure: widespread internet outage, cyberattack, natural disaster, war, strike, administrative decision, or any event preventing normal performance of the Services.

37. Governing law and jurisdiction

Les présentes Conditions sont régies par le droit français. In the event of a dispute, the parties will make every effort to reach an amicable solution. Failing that, the dispute will be submitted to the Rennes Commercial Court.

38. Acceptance summary

By creating an account, activating an offer, or using the Application, the Client acknowledges having read and accepted these Terms, using Spruce in a professional capacity, being responsible for their data and actions, understanding that Spruce is independent of LinkedIn, and that Spruce is bound by an obligation of means.
